  1. MGI Software Corp. Software License Agreement
  2.  
  3. This legal document is an agreement between you, the end user, and
  4. MGI Software Corp. BY OPENING THIS SEALED PACKAGE, YOU ARE AGREEING
  5. TO BECOME BOUND BY THE TERMS OF THIS AGREEMENT, which includes the
  6. SOFTWARE LICENSE, LIMITED WARRANTY and ACKNOWLEDGMENT. IF YOU DO NOT
  7. AGREE TO THE TERMS OF THIS AGREEMENT, PROMPTLY RETURN THE UNOPENED DISK
  8. PACKAGE AND THE ACCOMPANYING ITEMS (including written materials and
  9. binders or other containers) TO THE PLACE YOU OBTAINED THEM FOR A FULL
  10. REFUND. No refunds will be given for products which have the diskette
  11. seals broken or missing components.
  12.  
  13. GRANT OF LICENSE. MGI grants to you the right to use one copy of the
  14. enclosed MGI Software Corp., program (the "SOFTWARE") on a single
  15. terminal connected to a single computer (i.e.; with a single CPU). You
  16. may not network the SOFTWARE or otherwise use it on more than one
  17. computer or computer terminal at the same time.
  18.  
  19. COPYRIGHT. The SOFTWARE is owned by MGI or its suppliers, and is
  20. protected by Canadian and USA copyright laws and international treaty
  21. provisions. Therefore, you must treat the SOFTWARE like any other
  22. copyrighted material (i.e.; a book or musical recording) except that
  23. you may either (a) make one copy of the SOFTWARE solely for backup or
  24. archival purposes, or (b) transfer the SOFTWARE to a single hard disk
  25. provided you keep the original solely for backup or archival purposes.
  26. You may not copy the written materials accompanying the software.
  27.  
  28. NON PERMITTED USES: Without the express permission of MGI Software
  29. Corp., you may not:
  30.  
  31. 1. Use the software in a computer service business including rental,
  32. networking or time sharing software, nor may you use it for multiple
  33. users, or multiple computer system applications in the absence of
  34. individual network licenses with MGI Software Corp.
  35.  
  36. 2. Use, Copy or modify, alter or transfer, electronically or otherwise,
  37. the software or documentation except as expressly allowed in this
  38. agreement.
  39.  
  40. 3. Translate, reverse engineer, de-assemble, de-compile or create
  41. derivative works based on the written materials.
  42.  
  43. 4. Sub-license or lease this program or its documentation.
  44.  
  45. UPDATE POLICY: MGI may create, from time to time, update versions of
  46. the SOFTWARE. At its option, MGI will make such updates available to
  47. the LICENSEE who has paid the update fee and returned their Product
  48. Registration card to MGI.
  49.  
  50. GOVERNING LAW. This LICENSE Agreement shall be governed by the laws of
  51. the Province of Ontario, Canada, and shall inure to the benefit of
  52. MGI, it's successors, administrators, heirs and assigns. A venue of
  53. any trial shall be in Toronto, Ontario.
  54.  
  55. LIMITED WARRANTY: This software and accompanying written materials are
  56. provided "as is" without warranty of any kind. THE ENTIRE RISK AS TO
  57. THE RESULTS AND PERFORMANCE OF THIS SOFTWARE IS ASSUMED BY YOU. SHOULD
  58. THE SOFTWARE PROVE DEFECTIVE IN USE, YOU (AND NOT MGI OR ITS AGENTS)
  59. ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION
  60. OF DATA. FURTHER, MGI DOES NOT WARRANT, GUARANTEE OR MAKE ANY
  61. REPRESENTATIONS REGARDING THE USE OF, OR THE RESULTS OF THE USE OF THE
  62. SOFTWARE, IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS,
  63. OR OTHERWISE, AND YOU RELY ON THE SOFTWARE AND RESULTS AT YOUR OWN
  64. RISK.

  66. MGI warrants to the original licensee that the disk(s) on which the
  67. SOFTWARE is recorded is free from defects in materials and workmanship
  68. under normal use and service for a period of ninety (90) days from the
  69. date of delivery as evidenced by a copy of your receipt. MGI's entire
  70. liability and your exclusive remedy shall be at MGI's option,
  71. replacement of the disk which shall be returned to MGI with a copy of
  72. your receipt. If failure of the disk has resulted from accident, abuse
  73. or misapplication of the product, then MGI shall have no
  74. responsibility to replace the product under this warranty. THE ABOVE IS
  75. THE ONLY WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING,
  76. BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND
  77. FITNESS FOR A PARTICULAR PURPOSE, THAT IS MADE BY MGI ON THIS MGI
  78. PRODUCT. IN NO EVENT SHALL MGI OR ITS SUPPLIERS, NOR ANYONE ELSE WHO
  79. HAS BEEN INVOLVED IN THE CREATION, PRODUCTION OR DELIVERY OF THIS
  80. PRODUCT, BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR
  81. INCIDENTAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES
  82. FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS
  83. INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE, THE
  84. RESULTS OF USE, OR INABILITY TO USE SUCH PRODUCT, EVEN IF MGI HAS
  85. BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  87. ACKNOWLEDGMENT: You acknowledge that you have read this LICENSE and
  88. Limited Warranty, understand them, and agree to be bound by their terms
  89. and conditions. You also agree that the LICENSE and Limited Warranty
  90. are the complete and exclusive statement between the parties and
  91. supersedes all other communications between the parties relating to the
  92. subject matter of the LICENSE or the Limited Warranty.
